Official Rules

Please read these Holika Holika Canada Instagram Best Holika Contest Official Rules (these “Rules”) before submitting an entry in the Contest (as defined below). By submitting a Contest entry, you: (i) acknowledge and signify that you have read, understood and agreed to be bound by these Rules; (ii) agree to be contacted by Holika Holika Canada (“Holika Holika”) by direct message on Instagram, e-mail, telephone, and/or mail; and (iii) agree that the decision of Holika Holika is final and binding in respect of all matters relating to the Contest.

The Contest: The Holika Holika Canada Instagram Best Holika Contest (the “Contest”) is conducted by Holika Holika, with offices at B68-4300 Steeles Ave. E., Markham, ON L3R0Y5 Canada.

Contest Period: The Contest begins on Feb 01, 2015 at 12:01 a.m. Eastern Standard Time (“EST”) and ends on Dec 31, 2015 at 11:59 p.m. EST (the “Contest Period”). All times mentioned in these Rules are Eastern Standard Time unless expressly noted otherwise. The time will be determined by Holika Holika’s timekeeping systems, and Holika Holika may also rely on the time processing functions of Instagram, as relevant. Holika Holika has the sole discretion in determining the timeliness of any action or inaction related to this Contest.

Who Can Enter: The Contest is open only to individuals who are either legal residents of Canada (excluding residents of Quebec) who have reached the age of majority in the province, territory or state in which they reside. To be eligible to win a prize, entries must be completed and received by Holika Holika before the end of the Contest Period. Entrants must have a public Instagram account to participate. Employees of Holika Holika, or each of their respective parents, affiliates, subsidiaries, retailers and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings, children and each of their respective spouses, regardless of where they reside) and household members of each such employee, whether related or not, are not eligible to enter or win.

How to Enter: No purchase, payment or fee is required in order to participate in the Contest. To enter, Follow our Instagram and complete the statement “The best product is ________ HolikaHolikaCanada. #BestHolika” (“Statement”) and take a photo of your products from Holika Holika (“Image”). Then, upload the Statement and Image to your personal Instagram account, including the hashtag #BestHolika and mentioning @HolikaHolikaCanada (your “Submission”). In order for your entry to be valid, your Instagram profile must be public and thus viewable by Holika Holika and its agents. Posting a photo on Instagram generally requires a mobile device and therefore message and data rates may apply. The authorized account holder of the Instagram account used to enter the Contest will be deemed to be the Contest entrant. Each entrant is subject to verification and may be required to show proof of being an authorized account holder. Please read our privacy policy (applicable to Canadian residents) for information about how Holika Holika collects, uses and discloses your information.

Rights Granted to Holika Holika: By entering this Contest, you grant to Holika Holika a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sub-licensable, freely assignable license to reproduce the Submission (including Statement and/or Image) and to otherwise use, exploit, copy, modify, adapt, edit, publish and display the Submission (including Statement and/or Image) in any form, manner, venue, media or technology now known or later developed for any and all purposes, including, without limitation, for purposes of trade, advertising, and promotion as Holika Holika and its licensees or assignees determine, without further compensation, notification, or permission. By entering the Contest, you waive any moral rights you may have in the Submission (including Statement and/or Image) in favor of Holika Holika.

Submission Requirements and Content Restrictions: All Submissions (including, without limitation, the Statement and/or Image) must comply with the following requirements and content restrictions. By entering the Contest, you warrant that the Submission complies with these requirements.

(i) Your Statement and Image submitted (a) must be your own original work, created and shot by and/or featuring you; (b) must not have been previously published, released or distributed in any form; and (c) must not have been entered into any other drawing or competition nor won any award. Modification of an existing image does not count as original for purposes of this Contest. The entry and image must not contain any material that would violate or infringe upon the rights of any person or entity, including, without limitation, copyrights, trademarks, intellectual property or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or which requires a license from any third party.

(ii) You represent and warrant that you have the express consent of any identifiable persons appearing in the Image to their name and likeness being used in the ways set out in these Rules, including Holika Holika’s right to use the Image for any future commercial purpose without restrictions. Upon request, you will obtain written consent of any such persons in favour of Holika Holika. Images may include individuals under the age of 13 only if submitted by his or her parent or legal guardian. The Submission (including Statement and Image) must not contain any personally identifiable information of any person.

(iii) Subject to these Rules, Holika Holika grants you the limited permission to display its marks, artwork and products in your Submission solely for purposes of entering this Contest. Otherwise, the Submission (including Statement and Image) must not contain or reference any names, products or services of any company or entity or any third party trademarks, logos, trade dress or promotion of any brand, product, or service.

(iv) The Statement and Image must be appropriate for public viewing. Without limitation, the Statement and Image must not be lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, violate any laws or otherwise contain content which Holika Holika in its sole discretion decides is inappropriate or objectionable. Your entry must also not disparage or cast a negative light on any person, entity, brand, product, or service.

(v) The entry and image must comply with all of Instagram’s requirements and terms (http://instagram.com/legal/terms/) regarding the use of its services.

Entries (including, without limitation, the submitted images and their captions) that do not comply with the requirements of these Rules as determined by Holika Holika in its sole discretion are not eligible for consideration in relation to the Contest. Holika Holika reserves the right in its sole discretion to remove or disqualify any entry that it believes violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Rules. You agree to reimburse Holika Holika in full in respect of any losses, damages, and expenses, including reasonable attorney fees that Holika Holikaa or any of its affiliates may sustain, from the breach of a representation or warranty made by you or anyone acting on your behalf or with your authority.

Prizes: There are a total of three (12) prizes available to be won (each, a “Prize”). The Prizes consist of Eleven (11) monthly prizes and one (1) Grand Prize. Each monthly prize shall consist of one (1) Holika Holika Gift Card loaded with Twenty Dollars ($20.00). The Grand Prize shall consist of one (1) Holika Holika Gift Card loaded with One Hundred Dollars ($100.00). The currency of all gift cards awarded will be in either Canadian dollars. The total retail value of all Prizes is Three Hundred Twenty Dollars ($320.00). Prizes must be accepted as awarded in the form of a stored value card (“Gift Card”), which may only be redeemed toward the purchase of merchandise at any Holika Holika retail store in Canada. Prize may not be redeemed for cash or refund and the value will not be replaced if the Gift Card is lost, destroyed or stolen. Prize is subject to any terms and conditions stated on the Gift Card. Prizes are not transferable and must be accepted as awarded. Holika Holika reserves the right to substitute any prize with an alternative prize of comparable or greater value. Federal/country, province, state and/or local taxes on prizes, if any, and any other costs, fees or expenses not listed above are the sole responsibility of each winner.

Winner Selection: On each of the following Eleven (11) dates (Feb 1, March 1, Apr 1, May 1, June 1, July 1, Aug 1, Sept 1, Oct 1, Nov 1 & Dec 1, 2015 ), Holika Holika will select one (1) monthly prize winner from amongst all eligible. Submissions that are received by 11:59 p.m. EST on each of Feb 1, March 1, Apr 1, May 1, June 1, July 1, Aug 1, Sept 1, Oct 1, Nov 1 & Dec 1, 2015 respectively. When our Instagram Account (@HolikaHolikaCanada) Follower reach 1000, Holika Holika will select one (1) Grand Prize winner from amongst all eligible Submissions received during the Contest Period. All winners are subject to verification of eligibility. All eligible Submissions will be judged by Holika Holika based on the following non-exhaustive criteria: (a) most apt, interesting and original Submission, (b) visual impact / “wow factor” of the image, (c) overall consistency and appropriateness of the Submission for the Contest theme, and (d) positive representation of the Holika Holika brand.

The odds of winning depend upon the total number of eligible Contest entries received.

Winner Notification and Requirements: On or around end of each month following the monthly prize and Grand Prize winner selections (i.e., on or around March 1, 2015; April 1, 2015; etc), Holika Holika will regram the potentially winning Submission on Holika Holika’s Instagram account (@HolikaHolikaCanada) and will tag the potential winner’s Instagram account. In addition, Holika Holika will notify the potential winner by sending an Instagram Direct Message to him/her and requesting the potential winner to email Holika Holika within 72 hours at the email address provided.

On the occasion of each draw, the prize winner will be the entrant who: (a) is selected by Holika Holika; (b) submits valid proof of identity, age and residence; and (c) if a Canadian resident, correctly answers, unaided by any other person, a time-limited, mathematical, skill-testing question administered by Holika Hlikaa during a pre-arranged, mutually convenient telephone call. To qualify as a prize winner, a selected entrant must comply with these Rules and must promptly sign a prescribed form of Declaration, Release and Consent, which confirms the entrant’s compliance with these Rules, releases Holika Holika and its affiliates from claims and liabilities, and consents to the use and disclosure of the entrant’s personal information in connection with the Contest (including announcements of the entrant’s name as one of the winners of the Contest). A selected entrant may also be required to execute any other legal, regulatory, or tax-related documents required by Holika Holika at its sole discretion.

Holika Holika may in its discretion disqualify a selected entrant, and select a substitute entrant, if any of the following occur: (a) the selected entrant fails to respond to the prize notification within 72 hours; (b) the selected entrant who is a Canadian resident fails to correctly answer the skill-testing question; or (c) the selected entrant fails to fully comply with these Rules.

Other Matters: Holika Holika is not responsible or liable for: (a) erroneous, damaged, destroyed, lost, late, incomplete, illegible or misdirected contest entries; (b) failure for any reason whatsoever of selected entrants to receive or respond to a prize notification; or (c) any damage or loss arising from, connected with, or relating to the Contest or a prize, regardless of the cause or any fault by Holika or any person for whom Holika is responsible, and notwithstanding that any of those persons may have been advised of the possibility of the loss or damage being incurred.

If for any reason Holika Holika determines, in its discretion, that the Contest is not capable of being conducted as intended by Holika, including due to any misconduct by or on behalf of an entrant, Holika Holika may in its discretion disqualify the entrant responsible for the misconduct and withdraw, cancel, terminate, modify, or suspend all or any part of the Contest.

Holika Holika will have unfettered discretion in its decisions regarding all aspects of the Contest and the administration of these Rules. Holika Holika’s decisions are final and binding on all entrants.

Disputes: Except where prohibited by law, you agree that (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded (“Disputes”) shall be resolved individually, without resort to any form of class action; and (2) all Disputes must be resolved before the Courts of Ontario sitting in the City of Toronto, Canada, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those courts in respect of all Disputes. You agree that any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and under no circumstances will you be permitted to claim or obtain, and YOU HEREBY WAIVE ALL RIGHT TO CLAIM, INDIRECT, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

Severability: If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

No Affiliation with Instagram: The Contest is in no way sponsored, endorsed or administrated by, or associated with, Instagram or any other named or depicted people or entities other than Holika Holika. Any questions, comments or complaints regarding the Contest should be directed to Holika Holika.

The Contest is subject to all applicable federal, provincial, state and local laws and regulations. Notwithstanding any other terms of these Rules, this Contest is VOID IN QUEBEC, CANADA, AND WHERE PROHIBITED BY LAW.

Terms & Conditions

  1. The Program is a customer rewards program offered by Holika Holika (Canada). The following terms and conditions govern the Program and shall be deemed to replace and take precedence over any previous terms and conditions.
  2. Holika Holika may, in its sole discretion, restrict, suspend, amend, extend or otherwise alter the terms and conditions relating to the Program (including earning and redemption rates) at any time and without prior notice. If the terms and conditions have been updated, Holika Holika will post the new terms and conditions on the Butterfly Club Point Program Website found at www.holikaholika.ca/butterfly-club (the “Program Website”) and note the date that they were last updated. We encourage Members to review the terms and conditions relating to the Program each time they use the Program Website or redeem their Points. Holika Holika may, in its sole discretion, terminate all or any part of the Program at any time with 30 days’ prior notice.
  3. To participate in the Program, an individual must be a member of the Program (each, a “Program Member” or “Member”). All customers previously enrolled as members have been automatically transferred to the new Butterfly Club Point Program. Program membership is granted in Holika Holika’s sole discretion, and may be withdrawn or suspended in Holika Holika’s sole discretion with or without notice and without liability to Holika Holika. An application for enrollment into the Program may be completed at any Holika Holika Store in Canada. Only one Butterfly Club Point Program membership is available per customer.
  4. Holika Holika is not liable or responsible in any manner for any tax consequences which may flow from a Member’s participation in the Program. Program Members will be solely responsible for their own tax payments and reporting requirements (including those related to any income tax benefit), if any.
  5. Points can be earned by Program Members in connection with (a) purchases made at a Store, regardless of method of payment, provided that the Butterfly Club Membership Number is presented/entered at the time of purchase, and (b) through other offers or promotions that may be offered by Holika Holika from time to time.
  6. Upon presenting/entering a valid Butterfly Club Membership Number while making a purchase, the Points will only be deposited into the Butterfly Club Member Account associated with the Primary Member, unless otherwise specifically permitted by Holika Holika.
  7. Butterfly Club Points are not transferable or assignable.
  8. The number of Points earned by a Member will depend on whether the purchase is made in a Store. In addition, the number of Points earned on any purchases made at a Store will depend on several factors, including (i) whether Member presents/enters their Butterfly Club Membership Number, and (ii) whether the purchase includes any Excluded Products.
  9. Occasionally, through specified promotions, additional Points or other benefits may be awarded to certain Members.
  10. In order to earn Points in connection with a purchase made at a Store, the Member must, prior to the sale being completed, present his/her Butterfly Club Membership Number to the cashier.
  11. In the case of merchandise refunds, all Points awarded for that purchase will be automatically deducted from the Butterfly Club Membership Account used for the original purchase (regardless of whether or not the Butterfly Club Membership is presented at the time of return). Points will be deducted at the same rate as they were earned.
  12. Butterfly Club Points are typically shown on the receipt issued in respect of a purchase. Points earned in connection with in-Store purchases are usually posted instantly.
  13. A Butterfly Club Membership Account is deemed to be inactive if Points are not earned in connection with such Account for 12 consecutive months. Once an Account is deemed to be inactive, all Butterfly Club Points in such Account may, in Holika Holika’s sole discretion, be deemed to have been forfeited by such Member, with or without notice.
  14. Butterfly Club Points can be redeemed for rewards. When enough Butterfly Club Points have been accumulated to obtain the reward(s) desired, redemption may occur in Stores.
  15. Holika Holikas personal information practices in connection with the Program, including the collection, use and/or disclosure of your personal information, are governed by the Holika Holika privacy policy, which can be accessed at http://www.holikaholika.ca/privacy/. Please review this privacy policy and print a copy for your records.
  16. Use of a Program Member’s Butterfly Club at any time is deemed to constitute acceptance of the Butterfly Club terms and conditions in effect on the date of such use, either by such Member and any other Member sharing the same Butterfly Club Account. For greater certainty, use of a Member’s Butterfly Club at any time after these terms and conditions are amended is deemed to constitute acceptance of such revised terms and conditions. Publication of a revised version of the terms and conditions on the Program Website shall be deemed notice of such terms and conditions, where notice is required or permitted to be given hereunder.
